Terms of Service
Agreement to These Terms
These terms govern your use of this website, the Parakaleo licensing portal, the Parakaleo Drive mobile app, and the Safety Intelligence service, including Parakaleo Engine and Parakaleo Mobile and the software that goes with them (together, the "Services"). They are an agreement between you and Parakaleo Inc. ("Parakaleo," "we," "us"). How you accept them is explained under "Acceptance, Age and Authority" below. If you don't agree, please don't use the Services. The plan you choose at the portal checkout, or in a signed order form, is your "License Order."
These terms also apply to the Parakaleo Drive mobile app, described under "Parakaleo Drive Mobile App" below. You use the app under these Terms, which you accept as described under "Acceptance, Age and Authority."
Acceptance, Age and Authority
How you accept. You accept these Terms by ticking the acceptance box when you sign up for a portal account or at checkout. Drivers who use the Parakaleo Drive app accept the Terms and the Privacy Policy in the app when they pair a vehicle, where they also confirm that they are at least 18, and we record the version they accepted. Accepting in the app is enough for a driver who never creates a portal account. If you only browse this website, without an account, you accept just the parts of these Terms that apply to browsing the site. We keep a record of the date and the version of the Terms you accepted. The Services are for adults aged 18 or over, and by accepting you confirm that you are at least 18. If you accept on behalf of a company, fleet, or other organisation, you confirm that you have the authority to bind that organisation to these Terms, and "you" then includes that organisation.
Who we are. Parakaleo Inc. is a Delaware corporation. Our registered office and address for legal notices: Parakaleo Inc., c/o Legalinc, 131 Continental Drive, Suite 305, Newark, DE 19713, USA. Day-to-day contact is by email at hello@parakaleoinc.com.
Notices. We may give you notice under these Terms by email to the address on your portal account, or by posting it in the portal or on this site. You can give us notice by email to the address above. For business customers, an email notice counts as received when it is sent, unless the sender is told it wasn't delivered. For consumers, where the law requires it, an email notice counts as received when it actually reaches you or becomes accessible to you. Please keep your account email address up to date. Where the law requires a different method of notice, we'll use it.
What This Site Is and What It Isn't
This website describes Parakletos, our safety software. It has two parts. Safety Intelligence reads a vehicle's own sensors, works out what a hazard would call for, and turns that into a Safety Score. It's real and available today through early-access licenses, described below under "Licensing Portal, Subscriptions & Cancellation." Active Vehicle Protection is the part that would actually steer or brake a vehicle to avoid a collision. It is currently in development. Its certification is planned only and has not been started, and it has no approval for road use. Outside of the early-access program, Parakletos is not otherwise offered for sale on this site, and general availability of Active Vehicle Protection has not begun.
Nothing on this site is an offer, a contract, a warranty, or a commitment to deliver any feature, capability, performance figure, or timeline, except to the extent expressly set out in your License Order, and subject to mandatory consumer law, under which public statements about the Services can form part of what we must deliver. Descriptions of what Active Vehicle Protection will do are descriptions of design intent, not a live capability. Performance figures, including latency targets, are engineering measurements of the detection engine, not proof that any vehicle can currently act on them.
Roadmap phases, development timelines, and market projections are forward-looking statements. They reflect what we currently intend and expect. Real development changes, and these may change with it.
Safety Notice
Active Vehicle Protection remains a pre-certification product, with certification planned only and not yet started, and Safety Intelligence, while live, never actuates a vehicle's brakes or steering. Nothing on this site, including these Terms, should be read as advice to modify a vehicle's steering, braking, or control systems, or as confirmation that Active Vehicle Protection is certified or approved for road use in your jurisdiction. Road-use approval is a separate regulatory matter. Vehicle safety systems are regulated. Nothing in the current Services requires or supports installing actuator hardware, and installation will only be possible for approved early-access licensees once we support it, after they have accepted these Terms as their Early-Access License Agreement, the one-time acceptance checkbox in the licensing portal that gates software downloads and license generation. These Terms serve as that agreement unless and until we execute a separate signed one with you. If you haven't accepted it, don't install or attempt to install Parakletos software, or wire in any actuator hardware built to our specification.
Every vehicle is classified into one of two tiers, in preparation for Active Vehicle Protection. Neither tier changes anything about your Safety Intelligence subscription today, and there's no rush or requirement to act on it. A Tier 01 vehicle already has compatible factory driver-assist hardware, so once Active Vehicle Protection exists and is approved for road use, it would run entirely over the vehicle's own CAN bus. A Tier 02 vehicle would need a physical brake or steering actuator to carry out a future evasive manoeuvre. That hardware is not sold, shipped, or bundled by Parakaleo. Once installation is supported, approved early-access licensees would source it themselves against our published specification, and installing it would be their responsibility, or their installer's. Any ASIL or similar safety-integrity designation referenced in the portal or setup materials is aspirational and reflects an internal design target, not a completed or certified assessment. ISO 26262 and IEC 61508 are functional-safety standards that we intend to assess against. That assessment has not started, and certification is planned only. Approval for road use is a separate regulatory matter.
Tier 02 Vehicles and Actuator Installation
No actuator installation today. Nothing in the current Services requires or supports installing actuator hardware in a vehicle. Installation will only be possible for approved early-access licensees once we support it, and not before.
If, once it is supported, you are approved to source and install a brake or steering actuator for a Tier 02 vehicle, you acknowledge and agree that Parakaleo does not supply, sell, ship, test, approve, or warrant any hardware, and that the specification we publish is an engineering reference, not an approval of any part or installation. You also acknowledge that modifying a vehicle's braking or steering systems carries a real risk of injury, death, loss of control, and damage to property, and that you take on that risk knowingly and voluntarily. Safety Intelligence does not control your vehicle's brakes or steering, and you must not rely on any part of the Services to do so. This paragraph is a disclosure of risk. It does not waive any right that cannot lawfully be waived.
You alone are responsible for finding out and following the road-legality, roadworthiness, type-approval, inspection, registration, and insurance rules that apply to your vehicle where you live and drive, and for the consequences of a modification for your vehicle manufacturer's warranty. A modification can be unlawful, can void a warranty, and can affect your insurance. Use a qualified installer wherever the law or good practice calls for one. We recommend that you tell your insurer about any modification and keep adequate insurance in place. Nothing we say is advice on whether a particular modification is lawful in your country.
Business customers. If you are a business customer (a fleet, a company, or another organisation), you will, to the extent permitted by applicable law, indemnify Parakaleo Inc. against third-party claims, and the losses and reasonable costs that result from them, to the extent they arise from work done by your own installers, from your own modifications to a vehicle or its software that we have not authorised in writing (including actuator hardware you choose to install), or from your misuse of the Services in breach of these Terms. Installers who are not parties to these Terms are not bound by them. This indemnity does not apply to the extent a claim is caused by our own breach, negligence, or intent. Consumers give no indemnity of any kind under these Terms.
Pilot Applications
The "Join the Pilot" form on this site registers your interest in our founding Active Vehicle Protection pilot. Submitting it does not create a customer relationship, reserve a spot, guarantee pricing, or oblige either of us to enter into a future agreement. References to "founding customer pricing" or "priority access" describe our current intent for pilot applicants, not a binding commitment. Safety Intelligence itself doesn't require this form; it's licensed separately through the portal, described below.
Please submit accurate information, and only submit someone else's details if you're authorised to do so. How we handle what you submit is covered in our Privacy Policy.
Licensing Portal, Subscriptions & Cancellation
Who can use the portal.
Our licensing portal lets approved early-access licensees manage a Parakletos license and subscription, and Safety Intelligence licenses are available there directly, without needing to apply for the Active Vehicle Protection pilot first. Access to the portal is granted at our discretion. Submitting a pilot application on its own does not automatically give you portal access or a license.
Subscription billing.
Early-access licenses are billed as a recurring monthly subscription, in US dollars. Before you subscribe, we show you the price and tell you that the subscription renews automatically every month until you cancel it. By subscribing, you authorise us to charge your chosen payment method automatically each month until the subscription is cancelled. Where the law requires us to remind you before a renewal, we'll email you a reminder within the time the law requires. Payments are processed by Stripe; see "Third-Party Services and Links" below and our Privacy Policy for how it handles your payment details. If you've set a country in Settings, the portal may also show your price as an estimate converted into your local currency. That figure is a courtesy only. You are always charged in US dollars. Prices are shown in US dollars; applicable taxes, including VAT where required, may be added at checkout. Fees, what's included in your license, and any usage limits are set out in your License Order.
Cancellation.
You may cancel your subscription at any time, online, in the portal. You may also cancel by emailing us, but you never need to email us to cancel. Cancelling without deleting your account stops future billing, and it takes effect at the end of the billing period you've already paid for. Removing a vehicle from your account works the same way: it takes effect at the end of the period, with no credit or refund for the rest of it. Your license and access to Parakletos continue until then, and end automatically at the close of that period. We don't extend access beyond it. Deleting your account is different, as explained in the next paragraph. We may also suspend or terminate a license before the end of a billing period if you breach the Early-Access License Agreement, including its safety terms, or if a regulator requires us to.
Deleting your account.
If you delete your account, rather than just cancelling, your subscription and your access end immediately, and we do not refund the current billing period, except where the law gives you a right to a refund, such as the withdrawal right described below. If you want to keep access until the end of the period you've paid for, cancel the subscription and leave the account in place. Accounts that are cancelled and inactive for 24 months are deleted. What we keep, and for how long, is set out in our Privacy Policy.
Refunds and changes to your vehicles.
Subscription charges are non-refundable once a billing period has begun, including if you cancel, delete your account, remove a vehicle, or stop using the license partway through it. Cancelling a subscription or removing a vehicle takes effect at the end of the period you've paid for, whereas deleting your account ends access immediately; in neither case do we give a credit or refund for the unused remainder. This applies to both an initial charge and any renewal charge. If you add a vehicle in the middle of a billing period, we charge a prorated amount for the rest of that period, and the vehicle is part of your regular charge from the next renewal. The only exceptions are these: (a) we refund the unused part of a paid period if we end your account without cause, as described under "Termination and Suspension"; (b) the right of withdrawal for consumers in the EU and UK, described below; and (c) any refund, withdrawal, or cancellation right you have under law that can't be excluded by agreement. If you believe you were charged in error (for example, a duplicate charge, or a charge made after you'd already cancelled), contact us and we'll investigate and correct it.
Right of withdrawal (EU and UK).
We deliberately offer the Services to consumers in the European Union and the United Kingdom. If you're a consumer there, you generally have the right to withdraw from a distance contract within 14 days without giving a reason, including a contract for digital content or digital services. Where we ask for it at checkout, you can give your express consent to us starting the service immediately. By ticking the box, you ask us to begin immediately and acknowledge that you lose the right of withdrawal once the service has been fully performed, or, for an ongoing service, that you pay proportionately for what was provided before you withdrew. Where you have given that consent, you pay a proportionate amount for what you've received up to the moment you tell us you're withdrawing, and the right ends once the service has been fully provided. If you haven't given that consent, the statutory rules on withdrawal apply in full. To withdraw, send us a clear statement by email from the address on your account to hello@parakaleoinc.com, or through the portal where that option is available. You may use the model statement below, but you don't have to. Nothing here limits any right you have that cannot be excluded.
Model withdrawal statement. You can copy this text into an email to hello@parakaleoinc.com from the address on your account: "To Parakaleo Inc.: I hereby withdraw from my contract for the supply of the following service: [name of the service or subscription], ordered on [date]. Name of consumer: [your name]. Account email address: [your email address]. Date: [date]." Using your own words is fine as long as it is clear that you are withdrawing.
Price changes.
We may change our prices. We'll email account holders at least 30 days before a new price applies to them. The new price applies from the first renewal after that notice period. If you don't want to pay it, you can cancel before it applies and you won't be charged the new price. Continuing your subscription after the new price takes effect means you accept it.
Payment disputes.
If you (or your bank or card issuer) file a chargeback or payment dispute, we may immediately suspend that account's downloads, license generation and syncing, and new vehicle registrations while the dispute is investigated. We don't offer a self-service way to lift this; contact us once the dispute is resolved.
Team members.
An account owner can invite others to help manage their portal account with a "manager" or "viewer" role. You're responsible for what the people you invite do on your account, including any vehicles they register or remove. We keep a record of actions taken by invited members for accountability.
Points, referrals, streaks & groups.
The portal includes optional engagement features: a points balance, referral rewards, weekly activity streaks, groups, safety certificates, and monthly report cards. These are provided for engagement and recognition only; they're not a warranty of Parakletos's performance, and they don't reduce your subscription fee unless we say otherwise in writing. Points have no cash value on their own, but they can count toward qualifying for prizes under the Safety Challenge Rules. If you join or create a group, your name and activity become visible to other members, and if you turn on Safety Score sharing within a group, so does your chosen driver's score, as described in our Privacy Policy. We may adjust, cap, or discontinue any of these features for the future, or reverse points awarded through abuse of the system or by error. Prizes already earned are honored.
Safety Profile sharing.
You can choose to make a driver's Safety Profile visible to anyone with its link, or keep it private. This is your choice alone, off by default, and reversible at any time. A shared profile only ever shows aggregate figures, never raw telemetry or exact timestamps.
Developer tools.
The portal lets you generate a personal API key and configure "log forwarding" of your own execution logs to a webhook URL you choose. You're responsible for keeping your API key secret and for whatever endpoint you point log forwarding at; we aren't responsible for what happens to data once it reaches a destination you configured.
Safety Challenge
The Safety Challenge is a monthly ranking of drivers by Safety Score, open to any eligible account with a driver set up correctly, with no entry fee beyond an active subscription. Ranking and appearing on the list never depends on chance. Your position is a plain, repeatable calculation from your own driving, not a draw. Where we describe cash prizes, the qualifying drivers with the highest scores each calendar month are ranked by score alone, with a published tie-break rule and no random selection among them. The Safety Challenge Rules in the portal set the details.
Leaderboards. Safety Challenge leaderboards show participants' display names and scores to other accounts, including accounts that belong to other organisations. A driver can ask us by email at hello@parakaleoinc.com to hide their display name from leaderboards, and fleet customers must tell their drivers about this. Our role as controller for leaderboards is described under "Data Processing for Fleet Customers" below.
Qualifying for a prize, separate from simply appearing on the list, depends on meeting the requirements in the Safety Challenge Rules published in the portal. Those Rules currently require both a referral and a minimum distance driven that month, and they may set further conditions, such as a points threshold. Points have no cash value on their own, but they can count toward qualifying. A driver who won recently may have to sit out a cooldown before winning again, in which case the prize passes to the next eligible driver in rank order instead. The Rules also contain the prize schedule, which is stated in US dollars.
Claiming a prize requires answering a short skill-verification question and completing Stripe's own identity and payout onboarding. We never see or store your raw bank details. An unclaimed prize expires 30 days after the month closes, subject to the Official Rules below. None of this is a lottery or a game of chance, and nothing about it is randomised.
Safety Challenge Official Rules
The Safety Challenge Rules. The binding rules of the Safety Challenge are the Safety Challenge Rules published in the portal, each version carrying a date. Each dated version, including archived versions, remains publicly viewable. The Rules set the thresholds, the prize schedule, the tie-break rules, the cooldowns, and the eligible regions. They are part of these Terms for the purposes of the Safety Challenge, and they cannot reduce any statutory right you have. This section sets out the terms that apply in addition. If the two conflict, the Rules control for thresholds, prize amounts, tie-breaks, cooldowns, and eligible regions, and these Terms control for everything else.
Sponsor and eligibility. The sponsor of the Safety Challenge is Parakaleo Inc. To take part you must be at least 18 years old (or the age of majority where you live, if that is higher) and be in one of the eligible regions listed in the Safety Challenge Rules. The Safety Challenge is void where prohibited by law. There is no entry fee beyond an active subscription, and no other purchase is needed.
No platform sponsorship. Apple and Google are not sponsors of the Safety Challenge, are not involved in it, and have no responsibility for it.
Prizes, taxes, and screening. Prizes and their amounts are as set out in the Safety Challenge Rules. Winners are solely responsible for all taxes and any reporting that applies to a prize in their country. US winners may need to submit tax forms before a prize is paid, and winners elsewhere may need to provide equivalent information as applicable. Prizes are paid through our payout provider, which may screen winners for identity, sanctions, and eligibility. We may withhold a prize if that screening can't be completed or if you turn out not to be eligible.
Claiming a prize. A winner must claim a prize within the window stated in these Terms and in the portal, currently 30 days after the month closes. A prize that isn't claimed in time is forfeited only to the extent applicable law, including unclaimed-property law, allows.
Skill and decisions. The Safety Challenge is a contest of skill. Winners are determined by Safety Score and the rules above, with no element of chance, and a correct answer to the skill-verification question is required to claim. We decide questions about rankings, qualification, eligibility, and disputes in good faith, and our decision is final to the extent the law allows.
Disqualification and referral conduct. We may disqualify a participant, and withhold or reverse a prize, if we reasonably find fraud, cheating, a mock or faked location, or other manipulation of scores, trips, or points. Referrals must be genuine. Anyone who refers someone must clearly disclose that they receive a reward for the referral, so that no endorsement is paid for without being disclosed. Don't spam anyone, don't send unsolicited bulk messages, and don't make misleading claims about Parakaleo, its products, or the prizes when you refer someone.
Changes and cancellation. We may update the Safety Challenge Rules for the future. We'll give notice in the portal and by email to participants before an update applies. Prizes already earned under the rules in force at the time are honored. We may cancel or modify a challenge, or part of one, if we find fraud, if a technical failure makes it necessary, or if a legal reason requires it. Any prize already earned is still honored.
Prizes wrongly withheld. If we wrongly withhold, reverse, or treat as forfeited a prize that you earned under the Rules, we will pay it, and the limit on liability under "Limitation of Liability" does not apply to that amount.
Parakaleo Drive Mobile App
What the app is. Parakaleo Drive is a free mobile app for iPhone and Android. It records a vehicle's trips and sends a summary of them to the portal. Downloading the app costs nothing. To use it you need a vehicle set up for a phone in the portal, which requires an active Parakaleo Mobile subscription on an account, and a pairing code from the portal. When you pair, the app asks you to accept the Terms and the Privacy Policy and to confirm that you are at least 18, and it records the version you accepted. A vehicle pairs with one phone at a time, and pairing a new phone replaces the old one. The app is a companion to licensed accounts that we sell to organisations on the web. The subscription is managed in the portal and never inside the app, and the app contains no purchases and does not sell or unlock anything itself.
Your licence to use the app. We give you a personal, non-exclusive, non-transferable, revocable licence to install and use the app on your own phone for its intended purpose, under these Terms. Don't copy, modify, reverse engineer or resell the app, or use it to build a competing service, except where the law lets you. We may release updates, and we may require the latest version for the app to keep working.
App store terms. The Apple App Store and Google Play have their own terms, and you must follow the terms that apply to your use of them and of your phone and network. These Terms are between you and Parakaleo only. Apple and Google are not parties to them, are not responsible for the app or its content, and have no obligation to provide support, maintenance, or warranty service for it. Questions or claims about the app, including product liability, legal compliance, and consumer-protection claims, are for Parakaleo to address, not Apple or Google. Apple and its subsidiaries are third-party beneficiaries of these Terms as they apply to the app on an Apple device, and, once you accept them, have the right to enforce them against you.
Additional terms for Apple devices. If you use the app on an Apple device, these minimum terms apply as well. The license to the app is limited to Apple-branded devices that you own or control, and to use as permitted by Apple's usage rules. We, not Apple, are responsible for maintenance and support of the app. Apple is not responsible for any product claims, or for any claim that the app or your use of it infringes a third party's intellectual property rights; we deal with those claims. You represent that you are not located in a country subject to a government embargo and that you are not on any list of restricted or prohibited parties. Questions or claims about the app can be sent to hello@parakaleoinc.com. Apple's status as a third-party beneficiary is described above.
Drive safely. The app is built so that you never need to touch your phone while driving: switch tracking on before you set off. Never use your phone in a way that distracts you, mount it safely if you use a mount, and follow the traffic laws where you are. The app doesn't warn, advise or intervene while you drive. It's a recording and scoring tool, not a safety system, and a score or event it reports is an estimate from your phone's sensors, not a finding of fault or a statement about how safe a driver is.
Accuracy and availability. How well trips are recorded depends on your phone, its operating system, its battery-saving settings, the permissions you grant and the signal available. We don't promise that every trip will be recorded, uploaded or counted. We may reject a trip, hold it for review, or leave it out of distance, scores, points and rankings if it looks wrong, for example because it's very short, unusually fast or long, overlaps another trip, or reports a mock or jumping location. Posted speed limits come from OpenStreetMap and can be missing or wrong, so speeding events are a guide, not proof. Scores update about once a day. Points, rankings and prizes work as described under "Licensing Portal, Subscriptions & Cancellation" and "Safety Challenge" above, and our review decisions are made in good faith.
Play fair. Don't fake or alter your phone's location or sensor data, don't pair a phone to a vehicle you aren't authorised to use, and don't use the app to record anyone's trips without their knowledge. If you pair a vehicle to a phone that someone else drives, you're responsible for letting that person know their trips will be recorded and visible to the account, as described in our Privacy Policy. If we find fake locations or other abuse, we may remove the trips, points or prizes involved and suspend the pairing or the account.
Software License (Engine and Mobile)
Grant. Subject to these Terms and for as long as you have an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Parakaleo Engine software and the Parakaleo Mobile service for your own vehicles registered to your account. The license is for your own use and is not a sale of the software.
Restrictions. Don't sell, resell, rent, lease, sublicense, or distribute the software or the service, or make them available to anyone else. Don't reverse engineer, decompile, or disassemble the software except to the extent the law allows despite this restriction (analysing your own vehicle's data is not restricted). Don't publish benchmark or test results that misrepresent how the software performs or how it was tested. Don't remove or change any copyright, trademark, or other notice. Don't use the software to build a competing service, or get around license checks or usage limits.
Ownership. Parakaleo Inc. and its licensors own the software, the scoring methods, the documentation, and all related intellectual property rights. We reserve every right we haven't expressly granted you. The software may include third-party or open-source components, which are licensed under their own terms, and those terms apply to those components.
Export and sanctions. You will follow the export-control and sanctions laws that apply to you. You confirm that you are not on a government restricted-party list, and that you are not located in, or controlled by anyone in, a country or region under comprehensive sanctions. You won't export, re-export, or transfer the software in breach of those laws.
Data Processing for Fleet Customers
These are the data processing terms that our Privacy Policy refers to. They apply when a fleet owner, employer, or other account owner (the "customer") uses the Services for vehicles driven by other people, such as drivers or employees. For the customer's own driver data, held for the customer's purposes, the customer is the controller (or the equivalent under the law that applies) and Parakaleo is its processor.
Where we are an independent controller. Parakaleo is an independent controller for leaderboards, points, rankings, fraud prevention, and product improvement, and is a processor only for the customer's own driver data held for the customer's purposes. Safety Challenge leaderboards show participants' display names and scores to other accounts, including accounts of other organisations. Drivers may ask us by email at hello@parakaleoinc.com to hide their display name from leaderboards, and the customer must tell its drivers about leaderboards and about this right.
What we commit to as processor. We process driver data only on the customer's documented instructions and to provide the Services; the customer's use of the Services in line with these Terms is its instruction. We keep that data confidential and make sure that the people who handle it are bound by confidentiality. We apply appropriate technical and organisational security measures. If we become aware of a personal data breach affecting the customer's driver data, we tell the customer without undue delay. The paragraphs that follow add the remaining terms the law requires.
Subject matter, duration, nature and purpose; data and data subjects. The subject matter is the processing of driver data to provide the Services to the customer. It lasts as long as the customer's account is active, plus the time needed to return or delete the data. The processing consists of collecting, storing, scoring, and displaying trip and event data, and its purpose is to provide the Services as described in these Terms. The data subjects are the customer's drivers and employees. The categories of personal data are trip and event summaries, display names, Safety Scores, and device identifiers.
Sub-processors. The customer gives general authorisation for the sub-processors that process driver data, which are our hosting, database, and payments providers, listed in our Privacy Policy. Analytics and contact-form tools do not process driver data and are not covered. We tell the customer about changes to that list before they take effect, and the customer may object on reasonable data protection grounds; we will then work with the customer on an alternative, failing which the customer may end the affected Services. We bind each sub-processor to data protection obligations no less protective than these, and we remain responsible for them.
Audit and information. We give the customer the information needed to show that we meet these terms. The customer may ask for it once a year, on reasonable notice, and we will normally answer by questionnaire. On-site audits happen only where a regulator or mandatory law requires them.
Assistance, return and deletion. Taking into account the nature of the processing, we help the customer respond to data subjects' requests, carry out data protection impact assessments, and meet its security obligations. When the agreement ends, the customer may choose whether we return or delete the driver data, and we do so within the retention periods in the Privacy Policy, unless the law requires us to keep it. Accounts that are cancelled and inactive for 24 months are deleted, and IP addresses in logs are kept for up to 90 days.
International transfers. Where EU or UK personal data is transferred to the United States and no adequacy decision applies, the Standard Contractual Clauses (Module 2, controller to processor) and the UK Addendum are incorporated into these terms by reference, with the customer as exporter and Parakaleo as importer.
What the customer is responsible for. The customer is responsible for having a lawful basis for the processing, for giving its drivers and employees the notices the law requires, and for obtaining any consent that is needed. This includes complying with employee-monitoring law and with any works-council or consultation requirements that apply. The customer must not use the Services to track anyone covertly.
Termination and Suspension
Ending the agreement. Either of us may end your license and these Terms as they apply to your account at any time. You can do so by cancelling your subscription as described under "Licensing Portal, Subscriptions & Cancellation", in which case your access continues to the end of the paid period, or by deleting your account, which ends your subscription and access immediately. We can do so by emailing you. If we end your account without cause, we won't charge you for any period after the end date, and we'll refund the unused part of the period you've already paid for. That is the only case in which we refund the unused part of a paid period, apart from the withdrawal right of consumers in the EU and UK and any rights you have under law.
Suspension. We may suspend access to the Services or part of them immediately if you breach these Terms, including the safety terms, if we reasonably suspect fraud or abuse, if there is a security risk, if a payment fails or is disputed, or if a regulator requires it. Where we can and the law allows, we'll tell you why and restore access once the problem is resolved.
What happens when it ends. Your license ends, you must stop using and uninstall the software and the app, and your access to the portal may end. What we do with your data afterwards is covered in our Privacy Policy, including that accounts that are cancelled and inactive for 24 months are deleted. Charges already paid are not refunded, except as stated under "Refunds and changes to your vehicles" and in this section, or where the law requires. Provisions that by their nature should continue, continue, as described under "General" below.

Feedback and Your Submissions
Feedback. If you send us suggestions, ideas, or other feedback about the Services, you give Parakaleo Inc. a perpetual, worldwide, royalty-free license to use it, in any way, without any obligation to you.
Content and developer submissions. You keep ownership of what you submit through the Services, including anything you send through the Developer page, such as reverse-engineering work, signal definitions, or logs. You give Parakaleo Inc. a worldwide, non-exclusive, royalty-free, perpetual, sublicensable, and transferable license to use, store, review, reproduce, modify, and otherwise exploit it, including commercially, in and in connection with the Services, and to process it as needed to operate, evaluate, secure, and improve the Services. You promise that you have the right to submit it, that it doesn't infringe anyone else's rights, and that it hasn't been taken from third-party proprietary or confidential material, such as a manufacturer's non-public documentation, without permission. We may reject or remove a submission at any time.
Notice of alleged infringement. If you believe that content on or submitted through the Services infringes your copyright or other intellectual property rights, send a notice to hello@parakaleoinc.com that includes: identification of the work you say is infringed; where the allegedly infringing material is located in the Services, so that we can find it; a statement that you believe in good faith that the use is not authorised by the rights owner, its agent, or the law; a statement that the information in your notice is accurate and that you are the rights owner or authorised to act for them; and your physical or electronic signature. We may remove or disable access to the content, and we may terminate the accounts of repeat infringers.
Acceptable Use
Don't use this site or the licensing portal to break the law, attempt to gain unauthorised access to it or any connected system (including another licensee's account), disrupt its operation, scrape it at a volume that degrades service, or submit anything malicious through the pilot application form or portal. This also covers gaming the points, referral, or streak system (for example, fake referrals or fabricated hardware pings) and submitting fraudulent or plagiarised reverse-engineering work through the Developer page.
Third-Party Services and Links
This site and the licensing portal rely on third-party services: Google Analytics, whose code (gtag.js) is loaded from Google's servers only after you accept the cookie banner; EmailJS, whose code jsDelivr delivers to the contact page; Supabase (which hosts the database behind the licensing portal); Resend for transactional email; and, for licensees, the payment processor Stripe. The app's speed-limit data comes from OpenStreetMap, which our server queries through the Overpass service. The site and portal also link to external sources, including the research and government pages we cite for statistics. We don't control those sites and aren't responsible for their content, accuracy, or availability. Links are not endorsements.
The Parakaleo Drive app is distributed through the Apple App Store and Google Play, and the portal's servers are hosted on Vercel. The terms and privacy policies of those companies apply to the services they provide.
Accuracy of Information
We work to keep this site accurate, and we cite sources for the external statistics we quote. Even so, the site is provided "as is" and we don't warrant that every detail is complete, current, or error-free, and we may change or remove content at any time without notice.
Safety Score
What a Safety Score is. A Safety Score, whether it is produced by Parakaleo Engine and shown in the portal or by the Parakaleo Drive app, is an estimate worked out from sensor and trip data. It is not a finding of fault, not a statement about how safe a person drives, and it can be wrong, because data can be missing or inaccurate. It is not a consumer report, and Parakaleo is not a consumer reporting agency.
How you may use a Safety Score. Using Safety Scores to coach drivers and manage a fleet is fine. You must not use a Safety Score as the basis for a decision covered by consumer-reporting laws, such as decisions about credit, hiring, firing, tenant screening, or insurance eligibility or pricing. You are responsible for complying with the employment, monitoring, and privacy laws that apply to your use of the Services, including telling the people concerned and meeting any consultation requirements.
Questions about a score. If you think a score or an event is wrong, email us at hello@parakaleoinc.com with the vehicle, the driver, the date, and the specific trip or event you mean. We'll review the data for that trip or event and tell you what we found. If we find an error, we'll correct it, along with any score, ranking, or points it affected.
Limitation of Liability
SUBJECT TO THE EXCEPTIONS BELOW, THE SERVICES, INCLUDING THE WEBSITE, THE LICENSING PORTAL, THE PARAKALEO DRIVE APP, AND THE PARAKLETOS SOFTWARE, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE, OR THAT THEY WILL DETECT OR PREVENT ANY HAZARD, COLLISION, OR INJURY. THE EXCEPTIONS LISTED BELOW APPLY TO THIS PARAGRAPH.
Subject to the exceptions below, Parakaleo Inc. is not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of, or inability to use, the website, the licensing portal, the Parakaleo Drive app, or the software. This includes any decision made in reliance on information published here or on a Safety Score.
Subject to the exceptions below, our total liability for direct damages arising out of or related to the Services or these Terms is limited to the amount you paid us in the 12 months before the claim arose, or USD 100 if you have paid us nothing.
Exceptions. The disclaimers and limits in this section do not apply to, and do not limit: (a) liability for death or personal injury; (b) liability for fraud, intent, or gross negligence; (c) where mandatory law requires it, liability for breach of a material contractual obligation (one whose performance makes proper performance of the agreement possible and on which you can regularly rely), which is then limited to the damage that was foreseeable and typical for this kind of contract; (d) liability under product liability law; (e) prizes you have earned and claimed, and prizes we wrongly withhold or treat as forfeited; or (f) your rights under mandatory consumer law, including on the conformity of digital content and digital services.
The mandatory law of your country may give you further rights as a consumer, and nothing in these Terms takes them away.
The Safety Notice, the tier descriptions, and the other safety statements in these Terms are disclosures of risk, and of what the Services are and are not. They are not a waiver of any right or remedy that cannot lawfully be waived.
Changes to These Terms
We may update these terms as the company and the product develop. When we do, we'll change the date at the top of this page. For material changes, we'll email account holders. Where a change is adverse to you and the law allows, we'll give you at least 30 days' notice before it takes effect, and you can cancel before then, as described under "Cancellation" above. We may give shorter notice where a change is needed to comply with the law or to protect safety or security. Otherwise, continuing to use the Services after the effective date means you accept the updated terms.
Governing Law
These terms, and any dispute arising out of them or the Services, are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be brought in the state and federal courts located in Delaware, and you and we each consent to the jurisdiction of those courts, subject to the next paragraph.
If you are a consumer, nothing in these terms takes away the protection of the mandatory consumer-protection law of the country where you live, or your right to bring a claim in the courts of your home country where that law gives you that right. Those protections still apply despite the choice of law and courts above.
General
Entire agreement. These Terms, our Privacy Policy, and your License Order are the whole agreement between you and Parakaleo about the Services, and replace anything said or agreed earlier on the same subject. A License Order prevails over these Terms for what it expressly covers.
Severability. If a court or authority finds part of these Terms invalid or unenforceable, that part is limited or removed as far as needed, and the rest stays in force.
Assignment. You may not assign or transfer these Terms or your account without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets, or by operation of law. This doesn't reduce any right you have under mandatory law.
No waiver. If we don't enforce a right or provision, or delay in doing so, that is not a waiver of it. A waiver is effective only if it is in writing.
Survival. The parts of these Terms that by their nature should continue after the agreement ends will do so. These include ownership, the feedback and submission licenses, the disclaimers, the limits on liability, the indemnity, payment obligations that have already arisen, governing law, and this section.
Language. These Terms are written in English, and translations are provided for convenience. If a translation differs from the English version, the English version controls, except where mandatory local law requires the local-language version to control.
